Terms of Service

1. Definition of Service
Minion ("the Service") is an AI agent management platform operated by GeekBeer Inc. ("the Company", "we", "us"). The Service provides users ("you", "the User") with virtual private servers (VPS) on which AI agents powered by large language models (LLMs) operate. These AI agents can execute code, automate browser operations, run scheduled workflows, and perform various tasks on the provided VPS environment.
By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.
2. VPS Disclaimer
THE COMPANY SHALL NOT BE HELD LIABLE FOR ANY EVENTS, INCIDENTS, DAMAGES, OR CONSEQUENCES ARISING FROM OR RELATED TO THE USE OF THE VPS PROVIDED THROUGH THE SERVICE.
This includes, but is not limited to:
- Any commands, scripts, programs, or code executed on the VPS
- Data stored on, transmitted from, or processed by the VPS
- Security incidents, unauthorized access, or data breaches occurring on the VPS
- Any interactions between the VPS and external systems or services
- Loss, corruption, or unauthorized disclosure of data stored on the VPS
- Any legal consequences arising from activities performed on or through the VPS
The User is solely responsible for all activities that occur on their provisioned VPS instances and any consequences thereof.
3. AI Agent and LLM Disclaimer
The Service utilizes AI agents powered by various large language models (LLMs). The User acknowledges and agrees that:
- AI-generated code, content, and outputs may contain errors, inaccuracies, or unintended behavior
- The Company does not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of any AI-generated output
- Automated workflows and routines executed by AI agents, including scheduled (cron) tasks, may produce unintended results
- Browser automation performed by AI agents may interact with external websites and services in ways that are beyond the Company's control
- The User is solely responsible for reviewing, validating, and supervising all AI agent activities and outputs
- The User is responsible for ensuring that AI agent activities comply with the terms of service of any third-party services accessed
4. Prohibited Activities
The User shall not use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Distribute malware, viruses, or other malicious software
- Conduct unauthorized access to systems, networks, or data
- Send spam, phishing messages, or engage in fraudulent activities
- Engage in cryptocurrency mining without prior written approval
- Host or distribute illegal content
- Perform denial-of-service attacks or other network abuse
- Circumvent or attempt to circumvent any security measures of the Service
- Resell, sublicense, or redistribute the Service without authorization
Violation of these terms may result in immediate suspension or termination of the User's account without prior notice.
5. Service Availability and Modifications
The Company reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. The Company shall not be liable for any modification, suspension, or discontinuation of the Service.
The Service may experience downtime due to maintenance, updates, or unforeseen technical issues. The Company does not guarantee uninterrupted availability of the Service.
6. Fees and Payment
Certain features of the Service require paid subscriptions. Fees are billed according to the pricing plan selected by the User. The Company reserves the right to change pricing with reasonable advance notice.
Payments are processed through third-party payment providers. The Company is not responsible for any issues arising from payment processing by these providers.
7. Security and Credentials
The User is solely responsible for managing and safeguarding any API keys, credentials, tokens, and other sensitive information stored on or accessed through the VPS. The Company shall not be liable for any damages resulting from the compromise of User credentials or API keys.
8. Third-Party Services
The Service relies on third-party infrastructure and service providers including, but not limited to, cloud computing platforms, DNS services, and LLM providers. The Company shall not be liable for any service interruptions, data loss, or other issues caused by the failure or unavailability of third-party services.
9. Data and Backups
The User is solely responsible for backing up any data stored on the VPS. The Company does not guarantee the preservation, integrity, or availability of User data and shall not be liable for any data loss.
10. Intellectual Property
The Service, including its software, design, and documentation, is the intellectual property of the Company. Content and code generated by AI agents on the User's VPS belong to the User, subject to the licensing terms of the underlying LLM providers.
11. Termination
Either party may terminate the use of the Service at any time. Upon termination, the User's VPS instances will be decommissioned and all data therein will be permanently deleted. The Company reserves the right to terminate accounts that violate these Terms without prior notice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE.
The Company's total aggregate liability shall not exceed the amount paid by the User for the Service during the twelve (12) months preceding the event giving rise to the claim.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
